1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client," "you," or "your") and ORION SOLUTIONS LLC, an Arizona limited liability company doing business as RingABell.AI ("RingABell.AI," "Company," "we," "us," or "our"), governing your access to and use of our AI-powered call handling services.

By signing up for, accessing, or using RingABell.AI services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 15, which affect your legal rights. Please read them carefully.

2. Eligibility and Account Requirements

To use RingABell.AI services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Operate a legitimate business in the HVAC, plumbing, or related service industry
  • Have the legal authority to enter into binding contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Not have been previously suspended or removed from our services

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Services Description

RingABell.AI provides AI-powered call answering and qualification services designed specifically for HVAC and plumbing contractors. Our services include:

  • 24/7 automated call answering and customer interaction
  • Call qualification and prioritization based on urgency
  • Customer information collection and data capture
  • Urgent call escalation to designated phone numbers
  • Email summaries and transcripts of all calls
  • Integration with your existing phone number or provision of a dedicated number
  • Call forwarding and hybrid answering options

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to customers.

Call Volume

Standard subscription plans include 200 calls per month. Each call is subject to a maximum duration of 10 minutes to ensure optimal service quality and resource allocation. If your business consistently requires higher call volume, custom plans are available. We will proactively reach out to you if you approach your monthly limit to discuss your options before any service interruption occurs.

4. Pricing and Payment Terms

RingABell offers subscription-based pricing with one-time setup fees and recurring monthly charges.

By using RingABell services, you agree to all pricing terms as specified in that document, which is incorporated into these Terms of Service by reference.

Summary of Payment Terms

  • Payment Structure: One-time setup fee plus monthly subscription fee
  • Payment Processing: All payments securely processed through Stripe
  • Payment Methods: Any payment method accepted by Stripe's platform
  • Billing Cycle: Monthly, billed in advance on a recurring basis
  • Currency: All fees quoted in U.S. dollars (USD)
  • Late Payment: Service may be suspended for failed or late payments
  • Price Changes: 30 days' advance notice provided to existing customers
  • Refunds: Setup fees and subscription fees are non-refundable as detailed in our Pricing Terms

5. Service Term and Cancellation

5.1 Service Term

Your service begins on the activation date and continues on a month-to-month basis until terminated by either party.

5.2 Cancellation by Customer

You may cancel your subscription at any time by emailing cancel@ringabell.ai at least 5 days before the end of your current 30-day billing period. Cancellations received with less than 5 days' notice will be effective at the end of the following billing period.

5.3 Phone Number Reassignment

CRITICAL: Upon cancellation or termination of services:

  • Your dedicated phone number will be IMMEDIATELY released from your account
  • The phone number may be reassigned to another client without notice
  • You have NO continuing rights to the phone number after cancellation
  • We are not responsible for calls received by the new number holder
  • We strongly recommend updating all marketing materials, websites, and directories before cancellation

5.4 Termination by RingABell.AI

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the service in a manner that could harm our business or other customers.

6. Acceptable Use Policy

You agree to use RingABell.AI services only for lawful business purposes. You shall not:

  • Use the service for any illegal, fraudulent, or unauthorized purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the service or servers connected to the service
  • Transmit viruses, malware, or other malicious code
  • Collect or harvest information about other users without consent
  • Use the service to harass, abuse, or harm another person
  • Reverse engineer, decompile, or disassemble any aspect of the service
  • Use automated systems to access the service in a manner that sends more requests than a human can reasonably produce

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

7. Intellectual Property Rights

7.1 RingABell.AI's Intellectual Property

All content, features, and functionality of the RingABell.AI service, including but not limited to software, text, graphics, logos, images, audio clips, and AI models, are owned by RingABell.AI and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

7.2 Client Data

You retain all ownership rights to your customer data, call recordings, and business information processed through our service. You grant RingABell.AI a limited license to use this data solely for the purpose of providing and improving our services.

7.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from the service without our express written permission.

7.4 Website and Source Code Protection

The source code, HTML, CSS, JavaScript, design structure, and technical implementation of the ringabell.ai website and all associated web properties are proprietary and confidential trade secrets of ORION SOLUTIONS LLC d/b/a RingABell.AI.

Website visitors explicitly agree that they shall NOT:

  • View, copy, download, or extract the source code of this website through browser tools or any other means
  • Use automated tools, bots, web scrapers, or crawlers to access, download, or copy website content or structure
  • Reverse engineer, decompile, or disassemble any component of the website
  • Create derivative works, clones, or copies based on the website design, layout, or functionality
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Mirror, frame, or republish any portion of the website

Violations of these website code protections constitute willful copyright infringement under 17 U.S.C. § 501 and may result in:

  • Immediate cease and desist demands
  • Legal action seeking preliminary and permanent injunctive relief
  • Claims for statutory damages ranging from $750 to $150,000 per violation under 17 U.S.C. § 504(c)
  • Recovery of actual damages, profits, and disgorgement of unjust enrichment
  • Recovery of attorney fees and full litigation costs under 17 U.S.C. § 505
  • Criminal prosecution under 18 U.S.C. § 1030 (Computer Fraud and Abuse Act)
  • Reporting to domain registrars, hosting providers, and search engines for takedown

7.5 DMCA Copyright Agent

For notification of claimed copyright infringement or violations of intellectual property rights under the Digital Millennium Copyright Act (DMCA), contact our designated agent:

Infringement notifications must include:

  1. Physical or electronic signature of the copyright owner or authorized representative
  2. Identification of the copyrighted work claimed to have been infringed
  3. Identification of the infringing material with sufficient detail to locate it
  4. Your contact information (name, address, telephone number, email address)
  5. A statement that you have a good faith belief that use of the material is not authorized
  6. A statement under penalty of perjury that the information provided is accurate and you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA takedown notices within 24-48 hours and take appropriate action including content removal and account termination for repeat infringers.

8. Data Privacy and Security

RingABell.AI is committed to protecting your privacy and the privacy of your customers. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Data Security

We implement industry-standard security measures to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

8.2 Data Processing and Storage

Your customer data may be processed and stored on servers located in the United States or other jurisdictions where we or our service providers operate. By using our service, you consent to this transfer and processing.

8.3 Data Retention

We retain call recordings, transcripts, and customer data for as long as necessary to provide the service and comply with legal obligations. Upon account termination, data will be retained for 90 days before permanent deletion, unless a longer retention period is required by law.

9. Call Recording and Consent

RingABell.AI records all phone calls for quality assurance, training, and service delivery purposes. By using our service, you acknowledge and agree that:

  • All calls will be recorded and transcribed
  • You are responsible for ensuring compliance with applicable recording consent laws in your jurisdiction
  • You must inform your customers that calls may be recorded, if required by law
  • You have obtained all necessary consents from individuals whose calls are processed through our service

RingABell.AI is not responsible for your failure to comply with call recording consent requirements. You agree to indemnify us against any claims arising from your non-compliance with applicable recording laws.

10. Warranties and Disclaimers

10.1 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free service. We may temporarily suspend service for maintenance, updates, or circumstances beyond our control.

10.2 AI Technology Limitations

Our AI technology is designed to handle calls professionally and accurately, but it may not be perfect in all situations. We do not guarantee that the AI will correctly handle every call or capture all information accurately.

10.3 Service Capacity

While we include 200 calls per month in standard plans, actual call handling capacity may vary based on system load, call complexity, and duration. We reserve the right to implement reasonable usage policies to ensure fair access for all customers. Customers requiring consistent volume exceeding plan limits should contact us for custom enterprise pricing.

10.4 DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RINGABELL.AI DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RINGABELL.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the service
  • Any conduct or content of any third party on the service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Missed calls, incorrect call handling, or data entry errors
  • Service capacity limitations or temporary unavailability due to exceeding plan allocation
  • Lost business opportunities or customer relationships

IN NO EVENT SHALL RINGABELL.AI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO RINGABELL.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless RingABell.AI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of or access to the service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Your failure to comply with call recording consent laws
  • Any content or information you provide through the service
  • Your business operations or customer relationships

This indemnification obligation will survive termination of these Terms and your use of the service.

13. Modifications to Services and Terms

13.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

13.2 Terms Modifications

We may revise these Terms from time to time. The most current version will always be posted on our website with the "Last Updated" date. Material changes will be notified to you via email or through the service at least 30 days before they take effect.

Your continued use of the service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the service and cancel your account.

14. Force Majeure

RingABell.AI shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, riots, or civil unrest
  • Government actions, laws, or regulations
  • Internet service provider failures or network outages
  • Power failures or telecommunications failures
  • Pandemics or public health emergencies
  • Strikes, labor disputes, or supply chain disruptions

In the event of a force majeure, our obligations under these Terms will be suspended for the duration of the event. We will make reasonable efforts to notify you and resume service as soon as practicable.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at support@ringabell.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

15.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

The arbitration will be conducted in English in the state of Arizona, unless otherwise agreed. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

15.4 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court.

16. Governing Law and Jurisdiction

16.1 Governing Law

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. The Federal Arbitration Act governs the interpretation and enforcement of Section 15.

16.2 Exclusive Venue

To the extent that arbitration does not apply (including for small claims court actions or injunctive relief), you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You irrevocably consent to the personal jurisdiction and venue of these courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on our website, constitute the entire agreement between you and RingABell.AI regarding the service.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right under these Terms shall not constitute a waiver of that right.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms or our rights hereunder at any time without restriction.

17.5 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Acknowledgment

BY USING RINGABELL.AI SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

If you do not agree to these Terms, you must immediately discontinue use of our services.
